Terms of use

1. General

These terms and conditions (“Terms”) govern your use of the Site (defined below) and the Services (defined below). These Terms also incorporate any guidelines, announcements, additional terms, policies, or disclaimers that we may issue or make available from time to time. These Terms constitute a binding and enforceable legal contract between NadFun and its affiliates (“NadFun,” “we,” or “us”) and you, the end user (“you” or “User”) of the services (“Services”) in relation to our platform (“Interface”).

2. Agreement to Terms

You must read these Terms carefully before accessing the Interface or using the Services. By accessing, using, or clicking on the Interface via our website (including all related subdomains) or its mobile applications (“Site”), or by accessing, using, or attempting to use the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all requirements set forth herein.

If you do not agree to all of these Terms or cannot comply with the requirements herein, you must not access or use the Site or the Services. Additionally, certain features of the Services may be subject to specific supplemental terms and conditions, which will apply in conjunction with these Terms.

In the event of any conflict between these Terms and any such additional terms, these Terms shall prevail, unless expressly stated otherwise.

3. Amendments to Terms

We may change, update, add to, or remove provisions of these Terms at our sole discretion from time to time for legal and compliance purposes. Any such modifications will become effective upon their publication on the Interface or upon notification to Users, unless otherwise specified. Continued use of the Interface after any modifications constitutes acceptance of the revised Terms. If you do not agree with the amended Terms, you must immediately discontinue access to and use of the Interface and the Services.

4. Eligibility

By accessing the Interface or affirmatively accepting these Terms (e.g., via a click-to-agree mechanism), you represent and warrant that:

(a) as an individual, legal entity, or organization, you possess the full legal capacity and authority to enter into and be bound by these Terms;

(b) you are at least 18 years of age, or the applicable legal age to enter into enforceable contracts under the applicable laws;

(c) your use of the Interface does not violate, and fully complies with, all applicable laws, including but not limited to those governing anti-money laundering, anti-corruption, and counter-terrorism financing;

(d) you are not a citizen, resident, or domiciliary of any country where accessing or using the Interface is prohibited (“Restricted Country”), and you are not utilizing the Interface for or on behalf of any person or entity from such a country;

(e) you are not, and have never been, listed on any trade embargo, economic sanctions, or similar restrictions, such as the U.S. Office of Foreign Assets Control's Specially Designated Nationals list, the U.S. Department of Commerce's denied persons or entity list, or any equivalent lists enforced by the United Nations, European Union, or United Kingdom;

(f) if entering these Terms on behalf of a legal entity as its employee or agent, you hold all requisite rights and authority to legally bind that entity;

(g) you are exclusively accountable for your Interface usage and, where relevant, for all actions conducted via the Interface; and

(h) you commit to acting in good faith toward other Users' rights and will take all reasonable steps to uphold the purpose and objectives of these Terms.

We reserve the right to determine the markets and jurisdictions in which we operate and may, at our sole discretion, restrict or refuse your access to the Interface in certain countries or regions from time to time.

5. Interface

(a) Interface: NadFun, a community-driven meme coin launchpad built on the Monad blockchain, where Users can launch, trade, and engage socially with fair-launched meme coins without coding or technical expertise. Users must connect their own non-custodial wallet to interact, including creating tokens via one-click deployment to smart contracts, trading on the Interface integrated bonding curve mechanism for real-time price discovery, participating in liquidity pools, or joining social features such as on-chain chats, prediction markets, and trend discussions. Launch and transaction fees are directed to Monad-based smart contracts to facilitate fair launches (with no presales, team allocations, or insider advantages), bootstrap initial liquidity, and support the whole ecosystem and operations. Based on user activities and bonding curve progression, smart contracts automatically handle distributions, liquidity provision, transactions, and ecosystem incentives directly.

All information made available through the Interface (including blog posts, data, articles, tutorials, or third-party content) is provided for informational purposes only. You should not take, or refrain from taking, any action based solely on such information. Before making any financial, legal, or technical decisions, you should seek independent professional advice from a licensed and qualified advisor. The information presented on the Interface is not intended to be comprehensive or cover all aspects of the protocol or smart contracts.

(b) Decentralized Protocol: You acknowledge and agree that NadFun operates solely as an online platform facilitator and is not acting as a broker-dealer, custodian, investment advisor, or casino. NadFun does not oversee, manage, or participate the transactions of Users. Users interact directly with smart contracts for deposits, withdrawal, purchase, sale, transactions, payouts, and tokens launch. The Interface is decentralized and non-custodial in nature. All transactions are on-chain. NadFun does not hold, manage, or control any Users' funds, and NadFun does not store, transmit, or receive any funds on Users' behalf. When engaging with the smart contracts, you maintain full control of your cryptoassets through your personal digital wallet at all times. You are solely responsible for securing your private keys, and NadFun has no access to them.

In line with this decentralized design, there are no intermediaries involing processing, matching, or managing orders, and user accounts. NadFun serves no role as an intermediary, agent, or fiduciary for any User with respect to any transaction or transfer of User’s cryptoassets. NadFun may not perform identity verification for Users or validate funds beyond on-chain data that is publicly accessible or verifiable. Smart contracts handle all core functions transparently and immutably on-chain, eliminating the need for off-chain approvals, escrow services, or manual interventions.

You bear all risks arising from your use of the Interface, including those related to cryptoassets, blockchain networks, and decentralized protocols in general. Users bear full accountability for securing their private keys, wallet configurations, and compliance with blockchain network rules (e.g., gas fees, transaction finality), as well as any associated risks, including smart contract vulnerabilities, network congestion, or irreversible transactions. The protocol's underlying software is open-source and operates on public blockchain networks. As such, you acknowledge and agree that (i) NadFun bears no responsibility for the functionality, security, or uptime of these networks; (ii) no assurances are provided regarding performance or availability; and (iii) the networks may undergo modifications or disruptions that could impact the protocol.

Users engage directly and autonomously with NadFun protocol's smart contracts, enabling seamless, peer-to-peer transactions and fees distributions without any centralized oversight. NadFun, the Interface, and the Site function solely as informational and access tools, providing a user-friendly front-end to facilitate these on-chain interactions — they do not retain, access, or exercise control over Users' private keys, funds, or cryptoassets at any point. All transactions and fees distributions on the Interface are executed exclusively through Users' self-managed digital wallets, ensuring users maintain sole custody and responsibility for their assets. By participating, you confirm that you understand and accept these non-custodial dynamics, which prioritize security and user sovereignty while adhering to the principles of permissionless innovation.

(c) Prohibited Conduct: Users must act honestly and in good faith on the Interface. Users must not engage in manipulative, fraudulent, or abusive behavior. Prohibited activities include, but not limited to collusion or coordination between Users to influence token prices or outcomes; use of automated bots, scripts, or other tools for artificial volume or to gain an unfair advantage; market manipulation (e.g., pump-and-dump schemes); wash trading; misrepresentation of tokens (e.g., false hype in on-chain chats or prediction markets); and any activity intended to disrupt the operation of the Interface or Services.

(d) Jurisdictional Restrictions Access to or use of the Interface may be restricted or illegal in certain jurisdictions. You are solely responsible for ensuring that your use of the Interface complies with all applicable laws in your jurisdiction.

6. Transactions and Wallets

(a) Transaction Method: All transactions and activities on the Interface must be conducted exclusively through blockchain-based wallets compatible with the Interface. The Interface does not support fiat payment.

(b) Supported Networks and Assets: NadFun currently supports transactions conducted on the Monad blockchain and accepts only the digital assets or tokens explicitly listed within the Interface. You must ensure that you are using a compatible wallet and transferring supported assets; sending unsupported tokens or using non-compatible networks may result in permanent loss of funds, for which NadFun assumes no responsibility.

(c) Gas Fees: Each blockchain transaction may incur network (“gas”) fees determined by the relevant blockchain network, which are not controlled by NadFun.

(d) Taxes: NadFun makes no representation or warranty regarding the tax implications of receiving fees or profits generated from the Interface and Users are solely responsible for any taxes, duties, or levies applicable under their jurisdiction.

7. Token Launch and Trades

(a) Token Launch: Users may create blockchain-based meme coin (“Token”) via the Interface. You acknowledge and agree that:

i. You are solely responsible for the Token’s name, symbol, description, total supply, and creation parameters;

ii. Tokens on Nad.fun are experimental, speculative meme coins and may lose all value due to market volatility, low liquidity, or social trends. Nad.fun does not guarantee the value, liquidity, success, or viral potential of any Token;

iii. You must comply with all applicable laws, securities regulations, and intellectual property rules;

iv. You must not create Tokens that are fraudulent, infringe third-party rights (e.g., trademarks or copyrights in memes), promote illegal content or activities, or violate any applicable law or the Terms;

v. Nad.fun does not provide financial, investment, legal, or tax advice for the launch and trades of any Token on the Interlace. We do not recommend that any user-generated Tokens be bought, earned, sold or held by you under any circumstances.

vi. You are responsible for determining whether any Token is appropriate for you to acquire, transact in, or otherwise use on the Interface based on your personal investment objectives, financial circumstances and risk tolerance and you are responsible for any associated loss or liability.

vii. Before making the decision to buy, sell or hold any Token on the Interface, you must conduct required due diligence and consult with relevant professionals before conducting any transactions or activities on the Interface. We are not responsible for the decisions you make to buy, earn, sell or hold any Token based on the information or services provided by us or by other Users on the Interface, including any losses you may incur based on your decisions. Users are solely responsible for evaluating the risks and legality of their actions on the platform;

viii. Nad.fun is not liable for losses resulting from smart contract vulnerabilities, hacks, Monad network congestion, failed launches, or external factors like regulatory changes. Users acknowledge the high-risk nature of fair-launched meme coins and the absence of guarantees for trading volume or community adoption.

ix. Tokens may be delisted if they violate laws, are deemed fraudulent, infringe rights, contain illegal/harmful content, or fail to meet fair-launch standards (e.g., hidden team allocations). Delisted Tokens may have their liquidity pools frozen, with any remaining assets handled per smart contract rules.

(b) Bonding-Curve Mechanics: Tokens may be launched and traded via the Interface using bonding-curve pricing or similar algorithmic mechanisms on Monad network. Users understand and accept that:

i. Token prices are determined algorithmically based on real-time supply, demand, and trading activity, with migration to Monad-native liquidity pools once thresholds determined by the smart contract are met;

ii. Prices may be highly volatile due to meme coin nature, influenced by social hype, predictions, or on-chain discussions, and Tokens may lose all value or experience rug pulls;

iii. Users assume all risk related to the creation, holding, or trading with Tokens, including impermanent loss in liquidity pools or failed launches.

(c) Fees: Certain features on the Interface, such as Token launches or trades on NadFun, may require transaction fees, including a low fixed launch fee for smart contract deployment, trading slippage, or protocol charges (collectively, “Fees”). You agree to pay all applicable Fees in connection with your use of the Services as requested whether on the Interface or via a separate third-party interface. You understand that we do not control any Fees charged by third parties you may use to access the Services, and you are solely responsible for payment of any third-party fees. We may and you expressly authorise us to deduct all applicable Fees, commissions, interest, charges and other sums that you owe from your wallet under these Terms.

We may adjust the Fees from time to time. Any calculations of Fees by NadFun in connection with your use of the Services are final and binding.

Payments for Fees must be made using supported cryptocurrencies or blockchain-based assets on Monad, via user-connected non-custodial wallets. Users are solely responsible for ensuring sufficient balance, network connectivity, and successful execution of any payment transactions. Except as required by law, all Fees are non-refundable. Users acknowledge that once a transaction is executed on the blockchain, it may be irreversible due to smart contract finality.

(d) Transaction Limits: Any applicable limits, processing times, and minimum entry requirements will be displayed within the Interface prior to confirming your transaction. Your activity on the Interface and use of the Services may be subject to limits that we shall determine from time to time in our sole discretion.

(e) Transaction Responsibility: Users are solely responsible for reviewing, confirming, and executing all transactions, including Token launches, trades, liquidity additions, or social interactions on the Interface. NadFun is not responsible for incorrect, accidental, or unauthorized transactions initiated by Users.

8. Prohibited Activities and User Conduct

(a) General Conduct Requirements: You agree to use the Interface and Services solely for lawful purposes and in accordance with these Terms. You must at all times act in good faith and in a manner that upholds the integrity of the Interface.

(b) Prohibited Activities: Without limiting the generality of the foregoing, you agree that you will not, whether directly or indirectly:

i. Violate Laws or Regulations — use the Interface in any way that breaches any applicable laws, regulations, or orders of any governmental or regulatory authority, including but not limited to those relating to anti-money laundering (AML), counter-terrorist financing (CTF), anti-corruption, and securities trading;

ii. Misrepresentation and Fraud — create, use, or attempt to use multiple or false identities, impersonate another person, or engage in deceptive or fraudulent behavior;

iii. Exploitation or Collusion — collude with, or otherwise assist, any other User or third party to gain an unfair advantage in any trades or launch of Tokens;

iv. Use of Automated Tools — deploy bots, scripts, crawlers, scrapers, or any automated device or algorithm to interact with or extract data from the Interface;

v. Manipulation or Abuse — interfere with, disrupt, or compromise the normal functioning, security, or integrity of the Interface, including exploiting bugs, vulnerabilities, or system errors;

vi. Unauthorized Access — attempt to gain unauthorized access to the Interface, other Users’ wallets, data, or systems, or perform any activity that could harm the security or performance of the Interface;

vii. Intellectual Property Infringement — use or distribute any content from the Interface (including data, text, graphics, logos, or code) without authorization or in a way that infringes any intellectual property or proprietary rights of NadFun or others;

viii. Data Harvesting or Mining — collect or attempt to collect information about other Users, including wallet addresses or personal data, without consent;

ix. Malicious Content — upload, transmit, or distribute any content or material that contains viruses, trojan horses, worms, logic bombs, or any other harmful code;

x. Market Manipulation — use the Interface or Services to manipulate the value, market perception, or performance of any digital asset or token;

xi. Circumvention of Restrictions — attempt to circumvent or bypass geographical, technical, or access restrictions for Restricted Countries, including the use of VPNs or proxy services to access the Interface from Restricted Countries;

xii. Offensive or Harmful Behavior — engage in harassment, abusive conduct, hate speech, or any activity that causes harm or distress to other Users or NadFun; and

xiii. Other Improper Use — use the Interface for any purpose inconsistent with the intended design, functionality, or purpose of the Interface, or in any way that could bring NadFun or other Users into disrepute.

(c) Cooperation with Authorities: NadFun may cooperate with law enforcement, regulatory, or other governmental bodies in the investigation of any suspected illegal or unauthorized use of the Interface.

9. Intellectual Property Rights

(a) All current and future intellectual property rights—including copyrights, trademarks (registered or unregistered), design rights, database rights, and other proprietary rights — related to the Interface are either owned by NadFun or licensed to it. Provided you follow these Terms, NadFun grants you a limited, non-exclusive, and non-transferable license to access and use the Interface solely for the purposes outlined herein.

(b) Unless explicitly stated, these Terms do not grant you any ownership or license to NadFun’s intellectual property or that of any third party. If any intellectual property rights are legally deemed to belong to you, you agree to assist NadFun in transferring or assigning such rights back to NadFun.

(c) You must not copy, reproduce, modify, distribute, or create derivative works from any content on the Interface without NadFun’s prior written approval. Certain third-party contributors—such as data providers or service partners—may allow NadFun to use their intellectual property. NadFun does not guarantee that content on the Interface is free from third-party rights or claims.

(d) The intellectual property rights in any Token launched by you on the Interface—such as the Token's name, symbol, description, metadata, or associated creative elements (e.g., memes or artwork)—shall automatically vest in you as the creator. However, you grant NadFun a perpetual, worldwide, royalty-free, non-exclusive license to use, display, reproduce, modify, and distribute such intellectual property solely for the purposes of facilitating fair launches, trading on the Interface, and the use of Services. You hereby represent and warrant that you own or have obtained all necessary rights to such intellectual property and that it does not infringe third-party rights. You agree to procure that any agents, representatives, or contractors involved in Token creation comply with these representations. If requested by NadFun, you shall (and agree to procure that any such agents, representatives, or contractors shall), at no charge to NadFun, sign and/or execute all documents and perform all acts reasonably required to perfect or enforce this license, including cooperation in defending against infringement claims.

10. Interface Updates and Changes

(a) NadFun may, at its discretion, update, modify, or change any aspect of the Interface, including its content, features, or design. The Interface and any associated materials or Services may not always be complete, up-to-date, or available, and NadFun has no obligation to maintain or update them.

(b) NadFun will not be liable for any interruptions, modifications, or removal of the Interface, or for any impact these may have on your use of the Services or trades on the Interface.

11. No Fiduciary Duties

(a) The Interface does not establish — and is not intended to establish—any fiduciary relationship or obligations between NadFun (or its service providers) and you or any third party. To the maximum extent permitted by law, you acknowledge that NadFun and its service providers owe no fiduciary duties or responsibilities to you.

(b) Your rights and obligations are strictly those described in these Terms. NadFun is not liable for claims arising from any perceived fiduciary relationship.

12. Indemnification

You agree to defend, indemnify, and hold harmless NadFun, its licensors, service providers, and each of their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, disputes, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal and accounting fees) arising out of or relating to:

(a) your access to or use of the Interface, including interaction with digital assets, or reliance on content, data, or features provided through the Interface;

(b) your violation of these Terms or any applicable law or regulation;

(c) any content, data, or information you submit, post, or otherwise make available through the Interface;

(d) any other party’s access to or use of the Interface, digital assets through your wallet, credentials, or devices; or

(e) any acts, errors, or omissions arising from your use of the Interface in a manner not attributable to NadFun.

You acknowledge that this indemnification obligation applies even if the claim arises from the actions of another User interacting with your wallet or entries, and you remain responsible for ensuring that your use of the Interface complies with these Terms.

13. Third-Party Content and External Resources

(a) The Interface may include links, content, or data from third parties, including other users, contributors, or service providers. These materials are provided by the third parties alone and do not necessarily reflect NadFun’s views or endorsements.

(b) All content is for informational purposes only. NadFun makes no warranties regarding its accuracy, reliability, or completeness. You assume all risk in relying on such information, and NadFun is not responsible for any resulting losses or damages.

14. Termination

(a) To the extent not restricted by the nature of blockchain smart contracts or on-chain protocols, NadFun reserves the right to suspend, terminate, or modify your access to the Interface, in whole or in part, at any time and in its sole discretion, including but not limited to: (i) refuse to complete or block, cancel, or, where permitted by applicable law, reverse (to the extent possible) any action you have undertaken; (ii) terminate, suspend, or restrict your access to any or all of the Interface and Services; (iii) refuse to transmit information to third parties (including but not limited to third-party wallet operators); and/or (iv) take whatever action we consider necessary, in each case with immediate effect and for any reason.

(b) Where we terminate, suspend, hold or restrict your access, if you have transactions that are open, they may be closed by you or you authorise us to deduct any unpaid costs and fees directly from assets in the wallet you connected.

(c) If we are informed and reasonably believe that any assets in your wallet are stolen or not lawfully possessed by you (whether by error or otherwise), we may, but are not obligated to, terminate your usage of the Interface and Services.

(d) NadFun shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, losses, or disruptions arising from such actions. Upon termination of your access, these Terms shall immediately cease, except for provisions that by their nature are intended to survive, such as those governing user responsibilities, risk acknowledgments, dispute resolution, and limitations of liability.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER NADFUN, ITS LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, OR DIRECTORS SHALL BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE INTERFACE, ANY CONTESTS, DIGITAL ASSETS, CONTENT, FEATURES, OR SERVICES PROVIDED THROUGH THE INTERFACE, OR ANY WEBSITES OR THIRD-PARTY RESOURCES LINKED THERETO.

THIS INCLUDES, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF DATA, LOSS OF DIGITAL ASSETS OR TOKENS, LOSS OF GOODWILL, OR LOSS OF USE, EVEN IF FORESEEABLE AND EVEN IF NADFUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS LIMITATION OF LIABILITY ALSO APPLIES TO ANY DAMAGES RESULTING FROM THIRD-PARTY ACTIONS, ERRORS IN MARKET DATA OR CONTEST SCORING, TECHNICAL OR SYSTEM FAILURES, OR ISSUES WITH BLOCKCHAIN OR SMART CONTRACT INFRASTRUCTURE UNDERLYING THE PLATFORM.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16. Jurisdiction and Governing Law

Any and all disputes, claims, or controversies arising out of or relating to these Terms, their breach, termination, enforcement, interpretation, validity, or your use of the Interface (collectively, “Disputes”), shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws principles.

17. Dispute Resolution

(a) Mandatory Arbitration. Any and all disputes, claims, or controversies arising out of or relating to these Terms, their breach, termination, enforcement, interpretation, validity, or your use of the Interface or Services (collectively, “Disputes”) shall be resolved exclusively and finally by binding, individual arbitration. Arbitration shall be conducted in the British Virgin Islands, in accordance with the rules of a recognized arbitration institution such as the BVI International Arbitration Centre (BVI IAC), or another mutually agreed-upon arbitration provider. The language of arbitration shall be English. You and Nad.fun each waive any right to a jury trial, class action, or representative proceeding. This arbitration agreement shall survive the termination of these Terms and/or your use of the Interface and Services.

(b) Exceptions. Either party may pursue small claims or seek injunctive relief in Panamanian courts to protect intellectual property rights.

(c) Notice and Informal Resolution. Before initiating arbitration or filing any local legal action, the parties agree to first make a good-faith effort to resolve the Dispute informally. The party raising the issue must provide a written notice outlining the nature of the Dispute and the relief being requested (the “Notice”). Notices to NadFun shall be sent to team@foreon.limited , and notices to you may be sent to any physical address, email address, or wallet address linked to your account. If the Dispute remains unresolved sixty (60) days after the Notice is received, either party may initiate arbitration or take action under applicable procedures. The statute of limitations for the Dispute shall be suspended during this 60-day period.

(d) Arbitration Procedure. Unless otherwise agreed, arbitration shall be conducted by a single arbitrator appointed under the rules of the BVI International Arbitration Centre or another mutually agreed-upon arbitration provider. The arbitrator shall have exclusive authority to decide all issues, including jurisdictional and arbitrability matters, and may grant the same relief a BVI court could grant under law. Hearings may be conducted remotely where permitted by the applicable arbitration rules. The arbitrator’s written award shall be final, binding, and enforceable in any court of competent jurisdiction in the British Virgin Islands, and shall have no precedential effect.

(e) Costs. Arbitration costs, including arbitrator and administrative fees, shall be allocated in accordance with the applicable rules of the chosen arbitration institution.

(f) Individual Action Waiver. YOU AND NADFUN AGREE THAT ALL DISPUTES SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR PARTICIPANT IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of class or collective proceeding. If any part of this waiver is found unenforceable under BVI law, the remainder of this Section shall still apply, and any unenforceable portion shall be severed.

18. Waiver, Severability, and Enforcement

No delay or omission by NadFun in enforcing any right or provision under these Terms shall be interpreted as a waiver of such right or provision. Any waiver will be valid only if it is in writing and signed by an authorized representative of NadFun. A waiver of any specific right or provision shall not be construed as a continuing waiver or as a waiver of any other right or provision. The use of any remedy under these Terms shall not preclude NadFun from pursuing any other remedies available under Panamanian law.

If any provision of these Terms is found by a court, arbitration tribunal, or other competent authority in Panama to be invalid, unlawful, or unenforceable, that provision shall be modified or restricted to the extent necessary to ensure validity, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement and Assignment

These Terms, including referenced documents, constitute the complete agreement between you and NadFun regarding the Interface, replacing prior agreements. You may not assign these Terms without NadFun’s written consent. NadFun may freely assign them. These Terms bind and benefit the parties and their permitted successors and assigns.

20. Notice

Notices from NadFun will be delivered by email or posted on the Interface. Notices sent by email are deemed received upon transmission.

By accessing or using the Services or Interface, you acknowledge and agree this Warranty Disclaimer. This Warranty Disclaimer is incorporated by reference into our Terms of Use. Through your continued use of the Service, you agree to the terms and conditions of this Warranty Disclaimer. In this Warranty Disclaimer, unless specifically defined herein, any capitalized terms shall have the meanings ascribed to them in our Terms of Use.

NadFun does not guarantee that Services, digital assets, files, data, or materials obtained through the Interface or linked third-party websites will be free from viruses, malware, or other harmful components. Users are solely responsible for implementing appropriate security measures, including anti-virus protection, data backups, and the safeguarding of wallet credentials and private keys.

Access to and use of the Interface and Services involve inherent risks, including risks related to blockchain networks, cryptographic systems, digital assets, highly volatile token markets, and those other risks as listed in our Risk Disclosure. Users acknowledge that market conditions, transaction speeds, network fees, and digital asset values may fluctuate significantly. By using the Interface and Services, you assume full responsibility for all such risks and understand that NadFun cannot and does not guarantee any outcomes, including security, uninterrupted availability, error-free operation, or protection from any of your possible losses.

NadFun is not responsible or liable for any losses, damages, or claims arising from:

(a) user errors, including forgotten passwords, mistyped wallet addresses, or incorrect transaction details;

(b) server or network failures, data loss, corrupted files, or technical malfunctions;

(c) unauthorized access to your account, wallet, or digital assets;

(d) actions of third parties, including viruses, phishing attacks, brute-force attacks, or other malicious activity affecting the platform or underlying blockchain networks; and

(e) those listed in our Risk Disclosure.

No statement, information, or communication from NadFun—whether through documentation, the Website, community channels, or otherwise—constitutes a warranty or representation regarding the Interface, Services, digital assets, or related features. Any reliance on such information is at your own risk.
